These Terms govern your access to and use of services provided by UsahaNowLegal through UsahaNowLegal.pro. They describe how we assist small enterprises with document drafting, contract review, company registration steps and compliance checklists. Practical case approach: when a small retail business used our contract review service, we highlighted clause-by-clause implications and proposed redlines; the client used that analysis to negotiate clearer supplier terms. Our role is to provide professional support and administrative assistance; for complex or jurisdiction-specific disputes clients may be advised to engage independent counsel.

Eligibility to use services

To use UsahaNowLegal services you must be able to form legally binding contracts under applicable law and have authority to provide information about the business you represent. Example: a sole proprietor registering a business may proceed after confirming identity; an employee must have documented authorization to act on behalf of the company before filing incorporation documents with our assistance.

Users must be at least 18 years old or the age of majority in their jurisdiction to enter into legally binding agreements with UsahaNowLegal.

Services must be used for lawful commercial purposes only. Prohibited uses include submitting documents to conceal fraud, facilitate tax evasion, or support other illegal activities. If we detect activity inconsistent with lawful use—such as repeated attempts to register shell entities for deceptive purposes—we reserve the right to suspend service pending verification.

UsahaNowLegal primarily supports businesses operating in Malaysia. Where we provide services relevant to other jurisdictions, we will identify jurisdictional limits and recommend local counsel when matters require specific foreign legal interpretation. Example: cross-border employment clauses may be reviewed for general risks, but local labour law advice will be suggested for definitive compliance steps.

User accounts

Some parts of the service require an account. Account creation requires accurate identification and business information. Case scenario: a client creates an account to manage incorporation filings and document templates for their microenterprise; the account centralizes filings, invoices, and communication threads for auditability.

You must provide complete and accurate information when registering and keep it updated. Incomplete or outdated company details can delay filings or lead to incorrect filings with regulatory bodies; clients are responsible for verifying all data before submission.

You are responsible for safeguarding account credentials and restricting access. We implement reasonable security measures, such as encrypted storage and access logs, and recommend two-factor authentication where available. Example: when a firm experienced unauthorized access, a prompt password reset and review of recent submissions minimized further exposure.

Accounts and associated credentials are personal and may not be transferred without prior written approval from UsahaNowLegal. This helps preserve chain-of-custody for documents and communications in client engagements.

If you suspect unauthorized account access, notify UsahaNowLegal immediately at the contact details in these Terms. Provide relevant transaction IDs or recent activity so we can contribute and take appropriate remedial measures.

We may suspend or limit account functionality for security reasons, suspected misuse, or failure to pay for invoiced services. In suspension scenarios we aim to notify the account holder and outline steps to restore access where appropriate.

Services provided

UsahaNowLegal offers practical legal support for small enterprises: company formation assistance, standard contract templates, contract review with redlines and commentary, compliance checklists tailored to regulated sectors, and filing assistance. Example case: a food stall operator engaged our document pack to formalize supplier agreements, and we provided scenario-based edits that reduced ambiguity on delivery terms and liabilities.

We may modify, add, or remove services as business needs or regulatory requirements change. Material changes that affect ongoing paid engagements will be communicated with suggested alternatives or transitional arrangements. For example, if an e-filing provider discontinues an API, we will outline manual submission options and timeline impacts.

Services are provided subject to system availability and normal business interruptions. Certain services, like court filings or government registry interactions, depend on third-party schedules and processing times; we provide case-specific timelines and tracking where possible.

User rules and acceptable use

When using UsahaNowLegal you agree to follow conduct rules that protect our community and service integrity. Violations may result in restricted access.

  • Provide truthful and accurate information when submitting documents or instructions.
  • Do not use the platform to submit forged or fraudulent documents or to misrepresent identities.
  • Respect privacy and confidentiality; do not upload personal data of third parties without lawful basis.
  • Do not attempt to probe, scan, or test system vulnerabilities.
  • Do not resell our standard templates as-is without adding substantive professional input.
  • Comply with applicable export controls and sanctions when sharing data across borders.
  • Cooperate with any inquiry related to suspected misuse or breaches affecting the service.

User content and submissions

Users may upload documents, templates, and factual information for review. UsahaNowLegal processes that material to deliver requested services, such as drafting or filing.

You retain ownership of original documents and materials you provide. UsahaNowLegal does not claim ownership of user-uploaded business documents, contracts, or records submitted for support.

By uploading content, you grant UsahaNowLegal a limited, non-exclusive license to use, reproduce and transmit the content solely for the purpose of providing services to you and for internal quality control, training, and improvement of service workflows in anonymized form.

You are responsible for ensuring you have the right to submit any third-party content and for obtaining necessary consents. For example, submitting an employee's personal data requires lawful basis under applicable privacy laws.

If you request removal of content, we will take reasonable steps to remove it from active systems, subject to retention requirements for legal, tax, or compliance reasons. Removal requests affecting filed documents may not reverse third-party records already processed.

Intellectual property rights

All intellectual property created by UsahaNowLegal, including proprietary templates, workflow tools, and explanatory content, remains our property. Clients receive licensed use of deliverables for their business operations as set out in engagement terms. Example: a customized partner agreement produced for a client is licensed for that client’s use; republication or resale requires our consent.

  • Do not reproduce or distribute proprietary templates beyond the licensed scope.
  • Do not remove copyright, activity or other proprietary notices from materials.
  • Do not reverse engineer platform code or attempt to extract proprietary templates for reuse outside your licensed engagement.

Paid services and fees

Certain services on UsahaNowLegal are fee-based. Fees depend on the scope of work, document complexity, and any third-party costs like government filing fees.

Pricing is provided in engagement proposals or price lists on UsahaNowLegal.pro. Example: a basic company registration package covers name search, filing, and standard incorporation documents; bespoke agreements are quoted separately based on time and complexity.

Payments may be made by approved payment methods listed at checkout. Payments for third-party fees may be collected as disbursements. We use secure payment processing and will issue invoices detailing services and disbursements.

Subscription services, where offered, grant periodic access to templates and routine compliance checks. Subscriptions renew per the billing cycle and can be cancelled in accordance with the cancellation policy below.

Refunds are considered on a case-by-case basis. For example, if a paid service was not delivered due to an administrative error by UsahaNowLegal, a pro rata refund or credit may be offered after review. Refunds do not apply to third-party fees already paid to external bodies.

Clients may cancel services or subscriptions through their account dashboard or by contacting support. Cancellation effects vary by service: filings already submitted cannot be reversed and may still incur third-party charges.

Clients are responsible for taxes applicable to purchased services. Fees may be quoted exclusive of taxes where required; applicable taxes will be shown on invoices.

We may update pricing for new engagements; existing agreed engagements will follow the terms set in the engagement letter. For subscription plans, we will notify users of price changes ahead of renewal.

Failure to pay invoices can result in suspension of access and withholding of deliverables until payment is made. We may pursue recovery of unpaid fees through available legal remedies consistent with Malaysian law.

Legal disclaimers

Information and materials provided by UsahaNowLegal are for general legal support and business setting purposes and do not substitute for formal legal representation in contentious or complex matters. Where a matter requires court representation, specialist litigation counsel will be recommended. Example: our compliance checklist can identify likely gaps but does not replace a full regulatory audit by a licensed specialist when a client faces regulatory enforcement.

Limitation of liability

To the extent permitted by law, UsahaNowLegal's liability for direct damages arising from services is limited to fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses such as lost benefits or business interruption. This limitation reflects the engagement model and helps keep services affordable for small enterprises.

Third-party vendors and services

We may engage third-party providers for document storage, e-filing, or payments. These vendors act under contractual terms and their performance and policies may affect service delivery. In practical scenarios, a delay by a government registry is outside our control; we will assist by providing tracking information and suggested next steps.

Termination of services

Either party may terminate an engagement in accordance with the engagement letter or subscription terms. Termination does not affect accrued rights, such as unpaid fees or obligations to preserve records for regulatory purposes.

Upon termination, deliverables already completed will be delivered subject to payment. Files retained for legal or compliance reasons will be handled per retention policy and applicable law. Example: documents filed with a registry remain part of the public record despite termination of UsahaNowLegal's role.

Privacy and data handling

We handle personal and business data in accordance with our Privacy Policy published at UsahaNowLegal.pro/privacy. Practical guidance cases include anonymizing client examples used in training and establishing limited retention periods for draft documents to reduce exposure.

Communications

We communicate by email, in-platform messages, and phone. Important notices regarding service changes, filings, or compliance deadlines will be sent to the contact details on file. Example: when a statutory deadline approaches for an annual return, we send a staged reminder sequence through multiple channels.

Changes to these terms

We may revise these Terms from time to time. Material changes affecting core services will be announced with reasonable notice and, where required, will offer transitional arrangements for active engagements.

Governing law

These Terms are governed by the laws of Malaysia. Disputes arising from these Terms will be handled in Malaysian courts unless the parties agree alternative dispute resolution.

Dispute resolution

We encourage resolving disputes by direct dialogue and, if needed, mediation. If unresolved, disputes may proceed to arbitration or court per governing law. Practical approach: small claims or billing disputes are often settled through our client success process to preserve the commercial relationship.
